1. Who these terms are between

These terms are an agreement between OpsAgents Agency (“OpsAgents”, “we”, “us”) and the business that installs or uses Maya (“you”, the “merchant”). If you accept them for a business, you confirm you have authority to bind that business. If you do not agree, do not install or use Maya.

2. The service

Maya is an AI sales assistant that runs as a chat concierge on a merchant’s website or storefront, answers visitor questions from the sources the merchant provides, and passes on contact details a visitor chooses to leave. We may improve, change or retire features. If a change materially reduces the service you pay for, we will give you at least 30 days’ notice, and you may cancel before it takes effect.

3. Your account and access

You are responsible for the credentials and access you grant (including the Shopify permissions you approve at install) and for everything done through your account. Tell us promptly at michal@opsagents.agency if you suspect unauthorised use.

4. Merchant responsibilities

You are responsible for the content you give Maya (catalog, policies, knowledge sources), for its accuracy, and for having the right to provide it. You are the controller of your visitors’ conversation data and must give visitors any notices and obtain any consents the law requires where you deploy Maya. How we handle data is described in our Privacy Policy, which forms part of these terms.

5. Acceptable use

You will not, and will not let anyone else:

  • use Maya for anything unlawful, deceptive, harassing or infringing;
  • feed Maya payment-card numbers, passwords, government identifiers or other data she is not designed to receive;
  • probe, overload, scrape, reverse-engineer or circumvent the security or limits of the service;
  • present Maya’s answers as professional legal, medical or financial advice.

If you break this section, we will tell you and give you a reasonable chance to fix it. We may suspend access immediately, without notice, only where that is needed to protect the service, other users or the public, or where the law requires it.

6. AI-generated answers

Maya’s replies are generated by AI from the sources you provide. They can be incomplete or wrong. You are responsible for reviewing how Maya is configured and for the way you rely on her answers; commitments about price, availability or policy should be confirmed against your own systems.

7. Fees and billing

Current plans and prices are shown on our pricing page. For Shopify merchants, billing runs through Shopify Managed Pricing and is governed by Shopify’s billing terms; we never see or store your payment-card details. You can cancel at any time through Shopify, and cancellation takes effect as Shopify’s billing cycle provides.

8. Intellectual property

OpsAgents keeps all rights in Maya and the service. You keep all rights in your content and conversation data, and grant us a limited licence to host, process and display it solely to provide and support the service to you.

9. Availability and support

We work to keep Maya available but do not promise uninterrupted or error-free service. Planned maintenance and third-party outages can interrupt it. Support is by email at michal@opsagents.agency.

10. Disclaimer and limit of liability

To the fullest extent the law allows, Maya is provided “as is”, without warranties of any kind, and OpsAgents is not liable for indirect or consequential loss, lost profit or lost sales. Our total liability for any claim arising from the service is limited to the fees you paid us for the service in the 12 months before the claim. This section does not limit liability for wilful misconduct or gross negligence, or any liability that cannot be limited by law.

11. Termination

You may stop using Maya at any time by uninstalling it. We may suspend or end access for a breach of these terms, as section 5 describes, or where the law requires it. On uninstall, data is handled as the Privacy Policy sets out. Sections that by their nature should survive (including 8, 10 and 12) survive termination.

12. Governing law

These terms are governed by the laws of the State of Israel, and the competent courts of Israel have exclusive jurisdiction, without affecting any mandatory consumer or data-protection rights you have where you live.

13. Changes to these terms

We will update this page when the terms change and move the “last updated” date. We will tell merchants about a material change by email or in the app at least 30 days before it takes effect. If you do not accept it, you may cancel before that date; continuing to use Maya after it means you accept the change.

14. General

These terms and the Privacy Policy are the whole agreement between us about Maya. If a provision is found unenforceable, the rest stays in effect. You may not transfer these terms without our consent; we may transfer them only as part of a merger, reorganisation or sale of the business that runs Maya, and will tell you if we do.
